The Royal Automobile Club of Victoria (RACV) Ltd is a modern, progressive, successful, mutual. An unlisted public company, RACV was incorporated in 1901. The main entity, "RACV", is governed by its Memorandum of Association and Articles of Association. RACV’s wholly owned subsidiary companies are served by directors who serve the main RACV board, unlike its joint venture companies (Club Assets; Club Assist; AMS; IMA;) where RACV nominee directors sit alongside nominee directors of the other shareholders. The directors of wholly owned subsidiary RACV companies, Intelematics and DSP, are RACV executives and non-executive RACV directors. RACV has 16 directors - a managing director and 15 non-executive directors. Nine are voted onto the Board by ordinary (club) members and six by service members (service/ordinary directors). RACV has approximately 25000 club members; 1.9 million service members (including relationship members who do not vote) and 1845 staff.
