A Snapshot

As Senior Legal Counsel - Banking, based at our HQ in North Sydney, reporting to the Director – Legal Corporate Transactions, you will work closely with various teams and leadership across the Asia Pacific region, making your mark in several ways:

• You will collaborate with Air Trunk’s award-winning Treasury team to lead and drive key treasury and debt capital market workstreams across the APJ region, requiring specialist legal input, including corporate finance, securitisations, project finance, derivatives and hedging, alternative capital markets, and sustainable banking.
• You will advise on, structure, and shape new and existing financings across the Air Trunk group to enable the rapid expansion of data centre developments across APJ, ensuring compliance with regulatory requirements.
• You will develop new skills and expertise in related workstreams as needed, including treasury, finance, tax, construction and development, sustainability, and energy, gaining an in-depth understanding of Air Trunk’s business and providing legal support on strategic initiatives.

Your Day To Day

• Provide expert legal advice on banking and finance workstreams across APJ, working closely with Air Trunk teams to structure deals from a legal and regulatory perspective, with external counsel support as needed.
• Review, negotiate, and finalize complex financial transaction documents, including fee and commitment letters, facility agreements, ISDAs, security agreements, and sustainability-linked loans across Air Trunk’s jurisdictions and new markets.
• Assist the Treasury team in executing debt financing transactions and managing post-closing legal and regulatory matters, including ensuring compliance with financing obligations.
• Evaluate and manage legal and regulatory risks within debt financing transactions to ensure compliance across relevant jurisdictions within our APJ footprint.
• Monitor emerging legal and regulatory issues related to debt and financing, drive initiatives to ensure awareness and compliance, and improve processes through training and policy development.

Requirements

• Law degree from an accredited law school and current Australian practising certificate.
• Minimum of 8+ years of banking and finance experience gained from a reputable law firm and/or in-house environment.
• Experience in Asia Pacific & Japan highly regarded.
• Experience advising on complex and innovative financial structures, including corporate finance, securitisations, project finance, derivatives and hedging, alternative capital markets, and sustainable banking.
• Ability to apply sound judgment and commercial acumen, delivering practical legal advice that manages risk and aligns with best practices.
• Ability to manage multiple workstreams, priorities, and stakeholders efficiently.
• Excellent influencing, negotiation, relationship-building, and stakeholder management skills.
• Enthusiastic about challenges, with a “can do” attitude, willing to go above and beyond, eager to learn, and develop in-depth knowledge of Air Trunk’s business.
• Thrives in a fast-paced, team-oriented environment.
