We're seeking a future team member for the role of Vice President to join our Australia Corporate Governance team in Legal. This role is located in Sydney, Australia- HYBRID.
In this role, you'll make an impact in the following ways:

Under moderate guidance from more experienced attorneys, provide Corporate Governance support for multiple non-listed legal entities in Australia (the Australia Entities) and across the APAC region including non-US BNY companies controlled or managed outside of the US.
Responsible for scheduling board and committee meetings and annual general meetings and preparing minutes, board meeting packs and drafting resolutions.
Communicating for above-mentioned purposes with the shareholders and statutory auditors of the legal entities supported.
Effectuate timely filings and reporting to local regulators and government authorities regarding the Australia Entities.
Liaise with external counsel and/or external corporate service provider to facilitate regulatory notifications and filings.
Ensure the proper maintenance of the records for the Australia Entities.
Support internal and external audit requests and internal compliance reviews.
Liaise with Directors to ensure compliance with corporate regulatory requirements and assist with on-boarding of new Directors.
Closely work with local country counsel, compliance and chief administrative officer.
Assist Corporate Trust business legal on various local and regional initiatives, projects and provide legal and regulatory advice regarding the Australia Entities.

To be successful in this role, we're seeking the following:

Strong interpersonal and communication (written and oral) skills.
Accustomed to working under pressure and meeting deadlines.
Strong organization and time management skills.
Admitted to practice in Australia, UK, US or other location.
3-5 years minimum of total work experience as a qualified attorney is preferred.
Corporate governance, regulatory and/or compliance experience preferred. Debt capital markets/securitization transactional experience would be a plus.
